By accessing or using the Site and any related products, features, or services offered through it, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as they may be amended from time to time.

If you do not agree to these Terms, you must not access or use the Site.

1. Acceptance of Terms & Amendments

You represent and warrant that you have all necessary rights to grant this license and that your content complies with these Terms.

You agree to indemnify, defend, and hold harmless Vido LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorney’s fees) arising from (i) your use of the Site, (ii) your content, (iii) your violation of these Terms, or (iv) your violation of third-party rights.

We disclaim all warranties, including (but not limited to) warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

To the maximum extent permitted by law, Vido LLC (and its officers, employees, agents, licensors, partners) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, business, or goodwill, arising out of or related to your use of the Site, even if advised of the possibility of such damages.

Where a jurisdiction does not allow exclusion or limitation of certain liabilities, those limitations may not apply to you.

10. Refund / Payment Terms

If we offer paid services (e.g. featured listings, advertising), then:

  • Fees are non-refundable unless expressly stated otherwise, except where required by Australian Consumer Law.

  • Ads or services are not transferable to another user or new owner without our prior written permission.

  • We may refuse or cancel any transaction at our discretion.

11. Intellectual Property

All content, design, software, trademarks, logos, and other intellectual property on the Site are owned by or licensed to Vido LLC (unless otherwise noted). No rights are granted to you except as expressly stated in these Terms.

You may not reproduce, distribute, or create derivative works from Site content without prior written permission from us.

12. Copyright Infringement & DMCA

If you believe any content on the Site infringes your copyright or intellectual property rights, please provide a notice containing:

  • Description of the copyrighted work you claim is infringed;

  • Description of where the infringing content is located on the Site;

  • Your contact information (name, address, phone, email);

  • A statement, under penalty of perjury, that you have a good-faith belief the use is unauthorized;

  • A statement that the information is accurate and that you are the copyright owner or authorized to act.

We may remove or disable access to such content in accordance with applicable law.

We may terminate accounts of repeat infringers in accordance with the DMCA

13. Governing Law & Venue

All legal matters shall be governed exclusively by the laws of the State of Connecticut, USA, without regard to conflict of law principles, except where required by Australian Consumer Law for users located in Australia.

14. Miscellaneous

  • If any provision is found invalid or unenforceable, the remainder will still apply.

  • Our failure to enforce any right or provision does not constitute a waiver.

  • You may not assign your rights hereunder without our written consent; we may assign without restriction.

  • Any claim arising out of or relating to these Terms or the Site must be filed within one (1) year after it arises or be forever barred (unless prohibited by applicable law).

15. Termination

We reserve the right to suspend or terminate your access to the Site or any portion thereof, without notice, for conduct that we believe violates these Terms, applicable law, or is harmful to our interests or the interests of other users. Upon termination, all licenses granted to you will immediately cease.

16. Non-Refund & Dispute Resolution

All transactions on BaoVietUc.com are final. Any disputes shall first be addressed through good-faith negotiations. If unresolved, disputes shall be resolved by binding arbitration in Connecticut, USA (or another agreed location), under the rules of the American Arbitration Association. You waive your right to participate in class actions. Each party agrees to bear its own legal fees and costs in connection with any arbitration, unless otherwise determined by the arbitrator.
